Terms of Service
The rules for accessing and using COD Intelligence OS and its connected data and order-operation features.
1. Agreement
These Terms of Service ("Terms") govern access to COD Intelligence OS (the "Service"). By creating an account, connecting a service, or using COD Intelligence, you agree to these Terms. If you use the Service for a company or merchant, you confirm that you are authorized to bind that organization. If you do not agree, do not use the Service.
2. The Service
COD Intelligence combines advertising performance, storefront conversion, cash-on-delivery order, confirmation, shipment, delivery, return, refund, cost, and profitability data. Features may include multi-brand workspaces, funnel diagnostics, attribution signals, order editing, official Sendit city matching, shipment creation, status synchronization, and authorized Meta Conversions API events.
We may improve, add, remove, or change features. Some features may be identified as beta, preview, estimated, or not tracked.
3. Accounts and workspace access
- You must provide accurate account information and protect credentials.
- You are responsible for activity performed by your account and for assigning appropriate workspace access.
- You must promptly remove access for people who are no longer authorized.
- Each connected brand's data and costs should be configured under the correct brand. You are responsible for reviewing mappings and access before relying on results.
4. Connected services and permissions
You may authorize COD Intelligence to connect to third-party services such as Meta, Shopify, and Sendit. You confirm that you have the rights and permissions required to connect each account and process its data.
You control each connection and may disconnect it. Third-party services have their own terms, privacy practices, limits, review requirements, and availability. COD Intelligence is not responsible for a third party's change, suspension, data delay, API limit, or outage.
5. Orders, city matching, and shipment actions
- You are responsible for verifying customer details, order status, collectable amount, and the exact official city before pushing an order to Sendit.
- A push action may create a real shipment and change operational state. Do not push test or unconfirmed orders to a live delivery account.
- The Service may prevent duplicate shipment creation and flag ambiguous matches, but you must review exceptions and duplicate customer or phone records.
- Sendit shipment statuses may update COD Intelligence statuses. Verified delivery, return, refund, refusal, and cancellation data may determine realized-revenue reporting while preserving the original storefront order value.
6. Analytics and automated signals
Funnel metrics, diagnostics, attribution, profitability, estimated FTIR, recommendations, and related signals are informational tools. Results depend on the completeness, timing, definitions, and accuracy of data supplied by connected services and by you. "Live" or synchronized data can still be delayed by source APIs, queues, rate limits, network errors, attribution windows, and event configuration.
The Service is not accounting, tax, legal, financial, or logistics advice. You remain responsible for operational and business decisions and should verify material figures against source systems.
7. Meta and other server-side events
When you enable server-side events, you instruct COD Intelligence to transmit selected events and identifiers to the connected destination. You are responsible for your event configuration, lawful basis, notices, consent where required, data quality, and compliance with the destination platform's policies. You must not send prohibited, sensitive, or unlawfully obtained data.
8. Acceptable use
You may not use the Service to violate law or third-party rights; access data without authority; send malicious code; evade security or usage controls; reverse engineer protected parts of the Service except where law permits; interfere with other users; or process highly sensitive data that the Service is not designed to handle. You may not use another merchant's credentials, ad accounts, orders, shipments, or customer data without authorization.
9. Customer data and privacy
You retain responsibility for data you submit or connect. You grant COD Intelligence the limited right to host, process, transmit, and display that data as needed to provide, secure, support, and improve the Service and follow your authorized actions. You must give required privacy notices, respond to customer rights requests, and use the Service in compliance with applicable data-protection law. Our Privacy Policy explains our data practices.
10. Ownership
You retain rights in your business and customer data. COD Intelligence and its licensors retain rights in the Service, software, design, documentation, models, and branding. These Terms provide a limited, non-exclusive, non-transferable right to use the Service for authorized internal business purposes during your access.
Feedback may be used to improve the Service without obligation, provided we do not publicly identify you without permission.
11. Availability and warranty disclaimer
We work to keep the Service secure and available, but the Service is provided on an "as available" basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free or complete data. We do not guarantee a particular advertising, conversion, confirmation, delivery, or profit result.
12. Suspension and termination
You may stop using the Service and request deletion as described in our Data Deletion Instructions. We may restrict or suspend access when reasonably necessary to protect the Service, investigate misuse, comply with law, address non-payment under an applicable commercial agreement, or prevent harm. Where practical, we will provide notice and an opportunity to remedy the issue.
13. Liability
To the maximum extent permitted by applicable law, COD Intelligence is not liable for indirect, incidental, special, consequential, or lost-profit damages, or for losses caused by third-party platforms, inaccurate source data, unauthorized credentials, user-configured events, or shipment actions. Nothing in these Terms excludes liability that cannot legally be excluded. Any separate signed commercial agreement may set different liability terms and will control to the extent of a conflict.
14. Governing law
These Terms are governed by the laws of Morocco, without regard to conflict-of-law principles, unless mandatory consumer or data-protection law requires otherwise. The parties should first attempt in good faith to resolve a dispute through written notice.
15. Changes
We may update these Terms to reflect changes to the Service or law. We will post the new version and update the effective date. If a material change requires notice or consent under applicable law, we will provide it. Continued use after an effective update means acceptance where permitted by law.
